CLAUSE 1 — PURPOSE

The purpose of this contract is to establish the conditions under which both parties will enter into legal marriage, maintaining during the term of the agreement a cohabitation and marital appearance in accordance with the terms established herein.

CLAUSE 2 — DURATION

This contract will have a duration of two years, beginning from the date of the legal celebration of the marriage.

CLAUSE 3 — RESIDENCE AND COHABITATION

During the term of the contract, both parties will reside at the address designated by the FIRST PARTY, corresponding to the residence of Alexander James Blackwood.

Both parties agree to maintain a respectful coexistence compatible with the conditions established in this agreement.

CLAUSE 4 — LIVING EXPENSES, FOOD AND MEDICAL COVERAGE

The FIRST PARTY will assume the medical expenses of the SECOND PARTY during the term of the contract, including coverage by adequate medical insurance.

Likewise, the expenses related to food within the cohabitation will be assumed by the FIRST PARTY.

All other personal expenses of each party will be the sole responsibility of the party who incurs them.

CLAUSE 5 — PERSONAL DEBTS AND OBLIGATIONS

Debts, financial obligations, and economic commitments undertaken individually by either party will be the sole responsibility of the party who acquired them.

Neither party shall be obligated to settle, assume or answer for the personal debts of the other.

CLAUSE 6 — SEPARATION OF PROPERTY

The assets, properties, investments and other property rights belonging to each party prior to the celebration of the marriage will continue to be the exclusive property of their owner.

Subsequent acquisition of property in an individual name shall belong exclusively to the party listed as the owner, unless otherwise agreed in writing.

CLAUSE 7 — VISITS AND ACCESS TO THE HOME

Any personal visit to the shared residence must be communicated to the other party approximately three (3) days in advance, except in exceptional or urgent situations.

Neither party may use the shared residence for meetings or visits that could compromise the privacy, security, or reputation of the other.

CLAUSE 8 — EMOTIONAL EXCLUSIVITY

During the term of this contract, neither party may maintain romantic relationships with third parties.

The verification of an external romantic relationship will be considered a breach of contract and will result in the application of the corresponding financial penalty, regardless of which party committed the infraction.

CLAUSE 9 — MARITAL APPEARANCE

Both parties agree to maintain the appearance of a legitimate and functional marriage before family, friends, social and professional circles, and third parties.

This will include, where appropriate, joint attendance at events, family gatherings and social engagements, as well as public conduct reasonably expected of a married couple.

CLAUSE 10 — FREEDOM AND PERSONAL PRIVACY

This contract does not imply any obligation to engage in sexual relations, intimate physical contact, or any other conduct of a sexual nature.

Any act of intimacy must have the express and voluntary consent of both parties.

None of the provisions of this contract may be construed as permanent or automatic consent.

CLAUSE 11 — TERMINATION OF THE AGREEMENT

Once the period established in CLAUSE 2 has been satisfactorily completed, both parties will be free to decide whether they wish to remain legally married or initiate the corresponding divorce proceedings.

Either party may request early termination of the agreement when there is a cause expressly provided for in this contract.

CLAUSE 12 — EARLY CANCELLATION AND COMPENSATION

In the event that the FIRST PARTY decides to unilaterally cancel this agreement before the end of the established term, without there being a legitimate cause contemplated in the clauses of this contract, it shall pay the SECOND PARTY compensation equivalent to an additional fifty percent (50%) of the payment originally agreed.

Considering a base payment of USD 5,000,000 (five million US dollars), the total compensation will amount to USD 7,500,000 (seven million five hundred thousand US dollars).

In the event of a breach of any of the essential obligations established in this contract by the FIRST PARTY, a higher compensation may be established, determined according to the seriousness and nature of the breach.

The same economic provisions will apply to the SECOND PART in case of non-compliance, in accordance with the penalties specifically established for each infringement.

CLAUSE 13 — CONFIDENTIALITY

Both parties agree to maintain absolute confidentiality regarding the terms, conditions, reasons and circumstances related to this agreement.

The disclosure of private, financial, family or personal information obtained as a result of the contractual relationship is prohibited, except with the express authorization of the other party or when there is a legal obligation that requires it.

CLAUSE 14 — MODIFICATIONS

Any modification, addition or deletion of the conditions established in this contract must be made by written agreement and have the approval of both parties.

CLAUSE 15 — ACCEPTANCE

Both parties declare that they have read this contract in its entirety, understand its terms and voluntarily accept the obligations and conditions established herein.
