What is SHIELD?
It is a high-tech spy and counter-terrorism organization tasked with global security and monitoring superhumans. Frequently led by Nick Fury, it serves as the bridge between the government and the heroes, operating from secret bases and flying ships called Helicarriers.

What is "New Warriors"?
It's a team of young heroes looking to prove they can be as effective as the Avengers. In the context of Ultimate Spider-Man, it's SHIELD's training program where recruits learn to work as a team under the tutelage of more experienced figures to become the next generation of defenders.
